Registered Agent Service Agreement

LLCBooster Group LLC

1. Introduction

These Registered Agent Service Terms (“RA Terms” or “Agreement”) govern your use of the Registered Agent services (“RA Services”) provided by LLCBooster Group LLC (“LLCBooster”, “we”, or “our”).

By purchasing or activating RA Services, whether as a standalone product or within a package, you agree to be bound by these Terms, which form part of LLCBooster’s overall Terms of Use.

If you do not agree to these RA Terms, please do not purchase or use this service.

2. Appointment as Registered Agent

LLCBooster will serve as the Registered Agent for your company in the state selected, for the duration of your active RA subscription.

We will receive official legal correspondence (“Legal Mail”) on your behalf, including:

service of process,
notifications from government agencies,
other legally mandated documents.

3. Use of Third-Party Providers

In some states, RA Services may be fulfilled by accredited third-party Registered Agents with whom we partner.

You authorize LLCBooster to enter into limited agreements with such third parties solely for the purpose of providing RA Services, and you acknowledge that LLCBooster remains responsible to you.

4. Legal Mail Handling

All received Legal Mail will be:

scanned and uploaded to your account dashboard (if applicable),
or forwarded to your designated address.

LLCBooster is not liable for delays or losses caused by postal services or outdated client information.

5. Registered Agent Address Limitations

The RA address:

is not your business or mailing address,
must not be used on websites, contracts, advertisements, emails, or printed materials.

Any unauthorized use of the RA address may result in additional fees and/or termination of service.

6. Misdelivery and Refusal

LLCBooster does not guarantee that Legal Mail will never be misdelivered. In such cases, we will make reasonable efforts to retrieve the item.

If you refuse to accept forwarded Legal Mail, you agree to cover all return shipping costs.

7. Client Responsibilities

You agree to:

keep your contact information up to date,
notify LLCBooster of any changes within 30 days,
pay all service fees on time.

You are fully responsible for any consequences resulting from inaccurate or outdated information.

8. Auto-Renewal and Billing

RA Services are billed as a recurring subscription.

Your payment method on file will be automatically charged at the end of each billing period unless you cancel beforehand.

To cancel, notify us through your dashboard or by email at support@llcbooster.com.

Your cancellation is valid only after you:

assign a new registered agent,
or provide written proof of business dissolution or inactive status.

9. Termination

a. By LLCBooster:

We may terminate RA Services and resign as your Registered Agent with proper notice if:

you provide false or outdated information,
you misuse the RA address,
fees remain unpaid,
or your actions violate applicable laws or our Terms.

b. By You (the Client):

To cancel, you must:

assign a new Registered Agent and notify us with proof,
or provide documentation confirming business closure or inactive status.

Until such confirmation is received, your RA subscription remains active and chargeable.

10. Document Retention

Original documents will only be forwarded if they cannot be scanned (e.g. USB, checks).

Scanned documents are retained; physical originals are destroyed after 60 days.

11. Limitation of Liability

LLCBooster and our providers are not responsible for:

any damage to, delay of, or loss of Legal Mail,
misused or misdirected mail,
any direct, indirect, incidental, or consequential damages.

Our total liability is limited to the amount paid for RA Services during your last paid period.

12. Indemnification

You agree to indemnify and hold harmless LLCBooster from any claims, damages, losses, or liabilities arising from:

your use or misuse of RA Services,
unauthorized use of the RA address,
violations of law,
or any third-party claims resulting from your conduct.

13. Modifications

LLCBooster reserves the right to update or modify these RA Terms at any time. Updates will be posted on our website and become effective upon posting.

Continued use of the RA Service after changes are posted constitutes your acceptance of the revised Terms.

14. Legal Framework

These RA Terms are governed by the laws of the State of Florida, United States, and are part of LLCBooster’s overall Terms of Use.
