Annual Report Filing Service Agreement

LLCBooster Group LLC

1. Introduction

This agreement governs the Annual Report Filing service (“Service”) provided by LLCBooster Group LLC (“LLCBooster”, “we”, or “us”) to the customer (“you”, “your”, or “Client”).

By purchasing the Annual Report Filing Service, you agree to the terms of this agreement, which forms part of the overall LLCBooster Terms of Use.

2. Scope of Service

LLCBooster will submit your company’s Annual Report to the appropriate state authority based on the information you provide.

Filing an Annual Report is a mandatory legal requirement, and failure to do so may result in penalties, administrative dissolution, or suspension of your business entity.

3. Client Responsibilities

You agree to:

provide accurate and complete company information (e.g. address, officers, share structure),
submit payment and necessary documents on time,
monitor your entity’s filing obligations in your state of incorporation.

You are fully responsible for the accuracy of the submitted data. LLCBooster is not liable for any delays or rejections caused by incorrect or incomplete information.

4. Service Limitations

LLCBooster is not a legal or tax advisor. This service does not include:

preparation of tax returns,
legal analysis of your business structure,
representation before government agencies.

5. Payment and Refunds

The service fee is due in full at the time of purchase and includes:

the LLCBooster service fee,
and, if applicable, state filing fees.

No refunds will be issued once the preparation or filing process has begun, regardless of the accuracy of the information provided.

If you fail to submit required data in time, your order may be cancelled without refund.

6. Deadlines and Responsibility

You must provide the required information well in advance of your state’s Annual Report deadline.

LLCBooster is not responsible for missed deadlines or penalties if you do not submit information in a timely manner.

7. Limitation of Liability

LLCBooster is not liable for:

rejections from state agencies,
state-imposed fines or late fees,
errors caused by third parties or government delays,
or consequences resulting from your failure to provide required information.

Our total liability is limited to the amount you paid for the Annual Report Filing Service.

8. Indemnification

You agree to indemnify and hold harmless LLCBooster from any loss, penalty, or liability resulting from:

the submission of inaccurate or outdated information,
refusal to complete the filing after purchase,
or violations of applicable laws or deadlines.
